Thank you for choosing us for your commercial office furniture project. These terms and conditions outline the rules and regulations for the provision our commercial furniture supply, delivery and installation services. By engaging our services, you agree to be bound by these terms and conditions. If you do not agree with any part of these terms and conditions, please do not engage our services. These Terms and Conditions (“Terms”) govern the purchase and supply of commercial office furniture (“Products”) by [Xhibit Interiors Pty Ltd] (“Supplier”) to the customer (“Customer”). By placing an order for Products, the Customer agrees to be bound by these Terms.
Terms and Conditions
- Orders and Acceptance: The Customer may place an order for products by submitting a purchase order or a detailed email to the Supplier. The order is subject to acceptance by the Supplier, and the Supplier reserves the right to accept or reject any order in its sole discretion. Upon acceptance of an order, the Supplier will provide an order confirmation to the Customer. The order confirmation will include details such as the description, quantity, price, and expected delivery date of the Products.
- Pricing and Payment: The Customer agrees to pay the price for the Products as stated in the order confirmation. All prices are in the currency specified by the Supplier and are inclusive of GST, delivery and installation unless otherwise stated. Payment terms will be specified in the order confirmation. Unless otherwise agreed, payment is due upon receipt of the invoice. In the event of late payment, the Supplier may charge interest at a rate specified in the order confirmation or at the maximum rate allowed by law, whichever is lower.
- Delivery and Title: The Supplier will make reasonable efforts to deliver the Products within the agreed timeframe. However, delivery dates are estimates and not guaranteed. The Supplier will not be liable for any delays or failure to deliver caused by events beyond its reasonable control. Title and risk of loss or damage to the Products will pass to the Customer upon delivery. The Customer is responsible for inspecting the Products upon receipt and notifying the Supplier of any damages or discrepancies within a reasonable period.
- Returns and Cancellations : The Customer may request to return or exchange Products within a specified timeframe from the date of delivery, subject to the Supplier’s return policy. The Supplier may require proof of purchase and reserves the right to refuse returns or exchanges for non-defective items. Cancellation of an order may be allowed before the Products are shipped. However, if the Supplier incurs costs or expenses as a result of the cancellation, the Customer may be responsible for reimbursing the Supplier for those costs.
- Warranty and Limitation of Liability: The Supplier warrants that the Products will be free from defects in material and workmanship for a specified period from the date of delivery, subject to any applicable limitations or exclusions. The Supplier’s liability for any claim arising out of or related to the Products will be limited to the price paid by the Customer for the specific Product giving rise to the claim. In no event will the Supplier be liable for any indirect, incidental, consequential, or punitive damages arising out of or relating to the Products, including but not limited to loss of profits, loss of business, or loss of data.
- Intellectual Property: The Supplier retains all intellectual property rights in the Products and any related materials. The Customer agrees not to reproduce, distribute, or create derivative works based on the Products without the Supplier’s prior written consent.
- Governing Law and Dispute Resolution: These Terms will be governed by and construed in accordance with the laws of the jurisdiction specified by the Supplier. Any dispute arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts located in the jurisdiction specified by the Supplier.
- General Provisions: These Terms constitute the entire agreement between the Supplier and the Customer regarding the supply of Products and supersede any prior agreements or understandings, whether written or oral. The Supplier may assign or transfer its rights and obligations under these Terms to a third party without the Customer’s consent. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The failure of either party to enforce any right or provision under these Terms will not be deemed a waiver of that right or provision.
By placing an order for Products, the Customer acknowledges that they have read, understood, and agreed to these Terms and Conditions.
